Terms of Service

These Terms of Service ("Terms") are an agreement between you and Genomic Software ("Genomic Software", "we", "us", or "our"), the operator of Karyotutor. They govern your access to and use of the Karyotutor cytogenetics training platform at karyotutor.us and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to create an account yourself. Students aged 13 to 15 may use the Service only when an educational institution provides their access and supervises their use. The Service is not available to children under 13. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it.

2. Your Account

You agree to give accurate registration information and keep it up to date. Keep your password confidential, and do not let anyone else use your account. You are responsible for all activity under your account. Tell us right away at josh@karyotutor.us if you believe your account has been used without your permission.

3. Institutional Accounts

If your access is provided by a university, laboratory, training program, or other organization, that organization's tutors and administrators can assign you work, see your progress and scores, and manage or end your access. Your organization's agreement with us may include terms that add to these Terms.

4. Free Trials and Paid Plans

We may offer free trials or promotional access. Trials last for a limited period, may include only some features or cases, and end automatically unless you upgrade. If we offer paid plans, the price, what the plan includes, how long it lasts, and any refund terms will be shown to you before you buy, and those details form part of these Terms. Prices are in U.S. dollars unless we say otherwise, and you are responsible for any applicable taxes.

5. Acceptable Use

You agree not to:

  • share your account or sign-in details, or let other people use your access;
  • copy, download in bulk, redistribute, sell, or publish cases, images, answer keys, or other Service content without our written permission;
  • enter real patient information or other confidential health information into the Service;
  • reverse engineer, scrape, or interfere with the Service, or try to get around its security or access controls;
  • use the Service in a way that breaks any law or infringes anyone else's rights; or
  • misrepresent your scores or certificates, or use another person's account to complete assessments.

6. Educational Use Only

Karyotutor is a training tool. Its cases, scoring, feedback, and reference materials are for learning and practice only. They are not medical advice. They must not be used to diagnose or treat any person, or to make clinical or laboratory reporting decisions. Scores and certificates from the Service show performance on training exercises. They are not a professional qualification, license, or accreditation.

7. AI-Assisted Feedback

Some features may use artificial intelligence to evaluate written work. AI-generated feedback can be incomplete or wrong. Where your tutor reviews AI-assisted marks, those marks are provisional until the tutor confirms them.

8. Our Intellectual Property

The Service, including its software, case library, images, text, scoring methods, and branding, is owned by Genomic Software or its licensors. It is protected by copyright, trademark, and other laws. While your access is active, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own education and training, or for your organization's internal training if you are an institutional user. All rights not expressly granted are reserved.

9. Content You Submit

You keep ownership of the reports, answers, and other material you create in the Service. You grant us a non-exclusive license to host, store, process, and display that material, but only as needed to operate the Service, score your work, and share it with your institution where applicable. If you or your institution upload cases, images, or other materials, you confirm that you have the rights needed to do so and that the materials contain no identifiable patient information.

If you send us suggestions or feedback, we may use them without any obligation to you.

10. Third-Party Services

The Service may link to or rely on services run by others, such as video hosting, email delivery, AI providers, payment processors, and external quality assessment platforms. Their own terms and privacy policies govern their services, and we are not responsible for them.

11. Suspension and Termination

You may stop using the Service at any time. To close your account, email josh@karyotutor.us. We may suspend or end your access if you breach these Terms, if your trial or plan expires, if your institution ends your access, or if we must do so for legal or security reasons. Sections 6 to 9 and 12 to 15 continue to apply after your access ends.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, GENOMIC SOFTWARE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED. THESE INCLUDE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ITS CONTENT OR SCORING WILL ALWAYS BE ACCURATE OR COMPLETE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GENOMIC SOFTWARE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IT WILL ALSO NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) US $100. Some jurisdictions do not allow certain of these limitations, so they may not all apply to you.

14. Indemnity

To the extent permitted by law, you agree to defend and indemnify Genomic Software against claims, losses, and expenses, including reasonable legal fees, that arise from your misuse of the Service or your breach of these Terms.

15. Governing Law and Disputes

The laws of the State of California, USA govern these Terms, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in California, and you and we consent to their jurisdiction. Nothing in this section removes any protection you have under the mandatory consumer laws of the country where you live.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date above. If we make material changes, we will also notify registered users by email or through the Service before the changes take effect. If you keep using the Service after changes take effect, you accept the updated Terms.

17. General

These Terms, together with our Privacy Policy and any terms shown when you buy a plan, are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remains in effect. If we do not enforce a provision, we have not waived it. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or sale of assets.
